Domestic Limited Liability Limited Partnership

A Domestic Limited Liability Limited Partnership (LLLP) is located in Utah and composed of one or more general partners and one or more limited partners. The general partners manage the business and share fully in its profits and losses. Limited partners share in the profits of the business, but their losses are limited to the extent of their investment. Limited partners are usually not involved in the day-to-day operations of the business.

The chief purpose of a limited partnership is to enable persons to invest their money in a business without taking an active part in managing the business, and without risking more than the sum originally contributed, while securing the cooperation of others who have ability and integrity but insufficient money.

The main difference between a Limited Liability Limited Partnership and a Limited Partnership is to limit the vicarious liability of the general partners in the same fashion that registration as an Limited Liability Partnership limits the liability of the general partners of a general partnership.

Form a Partnership

  2. Select "Formations” from the left side menu and select the appropriate sub-option (Domestic, Foreign, or DBA).
  3. In the drop down, select a Business Entity Type, then click the "Next" button in the bottom right corner.
  4. From there, continue following the online steps as directed.

File an Annual Report/Renewal

  1. Click the "Get Started" button below to log in with UtahID. If you do not have a UtahID, you will create one at login.
  2. Select "Renewals" from the left side menu and select the appropriate sub-option.
  3. Search for your entity by name OR number.
  4. Select the radio button next to the correct entity, scroll down (if needed) and click “Next” in the bottom right corner.
  5. From there, continue following the online steps as directed.
  6. Please note, the new system uses a linear, step-by-step, filing flow. To move to the next step in the filing flow, look for the “Next” button in the bottom right corner.

File an Amendment, Correction, Cancelation, Registered Agent Resignation, or Reinstatement

  1. Click the "Get Started" button below to log in with UtahID. If you do not have a UtahID, you will create one at login.
  2. Select "File On An Existing Business" from the left side menu.
  3. Search for your entity by name OR number and click "Search".
  4. Select the radio button (the bubble) next to the correct entity, then scroll down.
  5. At the bottom, select filing type from the drop-down list, then click “Next”.
  6. From there, continue following the online steps as directed.
  7. Please note, the new system uses a linear, step-by-step, filing flow. To move to the next step in the filing flow, look for the “Next” button in the bottom right corner.

File a Conversion or Domestication

  1. Click the "Get Started" button below to log in with UtahID. If you do not have a UtahID, you will create one at login.
  2. From the dashboard, click "Conversion" or "Domestication".
  3. Search for your entity by name OR number. and click "Filter".
  4. Select the radio button next to the entity and then click "Select" below (if this button appears), then click “Next”.
  5. From there, continue following the online steps as directed.

All Other Filing Types

  1. Select the PDF, fill out the form, and save a copy.

  2. Select "Submit a Paper Filing” from the navigation menu on the left.
  3. Follow the instructions to upload your filing.
