Foreign Limited Liability Partnership

A Foreign Limited Liability Partnership (LLP) is a business relationship in which one partner is not responsible for the negligent acts committed by another partner or by the employees not under that partner's supervision. A Foreign Limited Liability Partnership is essentially a General Partnership, but each partner is not liable for certain acts of other partners. A Foreign LLP also limits the personal liability of a partner for the errors, omissions, incompetence, or negligence of the partnership's employees or other agents.

State laws vary regarding LLP's and only about half of the states recognize them. Each of the partners (there can be more than 2) shares in the profits and shares in the debts of the LLP, including losses, unless the partner is a limited partner. A LLP is considered an association of co-owners for tax purposes, and each co-owner is taxed on his or her proportional share of the LLP profits.

Register a Business

  1. Use your UtahID to log in. If you do not have a UtahID account, you can create one here
  2. Select "Formations & Registrations” from the menu on the left and choose the entity type (Domestic, Foreign, DBA, etc.)
  3. Follow the instructions to complete your filing by providing required information such as business classification, name availability, registered agent, and principle information.

File an Annual Report/Renewal

  1. Use your UtahID to log in to businessregistration.utah.gov
  2. Select "Annual Report/Renewal" from the menu on the left and select the appropriate option.
  3. Search for your entity by Name OR Number.
  4. Select the radio button next to the entity and then click "Select", then click “Next”

File an Amendment

  1. Use your UtahID to log in to businessregistration.utah.gov. If you do not have a UtahID, you can create one here.
  2. From the dashboard, click "File On An Existing Business"
  3. Enter the name or entity number into the appropriate field and click "Filter"
  4. Select the bubble next to the entity you are filing on and then click "Select Entity"
  5. At the bottom, select filing type from the drop-down list.
  6. From there, continue following online steps as directed.
